Agreement and operator

These Terms of Use (“Terms”) form an agreement between you and ZORBI Ltd (“ZORBI”, “we”, “us” or “our”), located at New Horizon Building, Suite 105, 3 1/2 Miles Philip S.W Goldson Highway, Belize City, Belize. They apply to zorbi.to, the ZORBI account interface and related public pages, communications and features collectively referred to as the “Service”.

Eligibility and restricted access

You must be at least 18 years old, have legal capacity to enter a binding agreement and be permitted to use the Service under the laws applicable to you. You must not use the Service if you are located in, ordinarily resident in, or acting on behalf of a person or entity in a jurisdiction where the Service or the relevant transaction is prohibited.

We may require identity, source-of-funds, sanctions or other compliance information before permitting or continuing access. We may refuse, limit or terminate access where reasonably necessary for legal, security, fraud-prevention or operational reasons.

The Service

The Service provides an account interface through which eligible users may view supported digital assets, fund an account, select available plans, monitor account entries, request withdrawals and use other enabled features. Features, supported assets, networks, rates, limits and availability may change.

The plan-selection and confirmation screen presents the terms applicable to a particular activation, including the displayed rate, allocation limits, cycle, lock period and any early-release fee. Those transaction-specific terms supplement these Terms and should be reviewed before confirmation.

Important risk disclosure

Digital assets, blockchain networks and any strategy linked to market activity are high risk. Values can move sharply, liquidity can disappear, networks and counterparties can fail, and you may lose some or all of the value committed. Historical or displayed performance does not guarantee future results.

No content on the Service is financial, investment, legal, accounting or tax advice. We do not promise that any plan, strategy, account entry, withdrawal request, token or digital asset will produce a profit or preserve value. You are responsible for assessing suitability, conducting your own research and obtaining independent professional advice.

ZORBI is not a bank, and account values are not bank deposits or government-insured savings unless an applicable written disclosure expressly states otherwise.

Your account and security

You are responsible for maintaining the security of your account, registered contact details, devices, password and authentication data. You must provide accurate, current information; maintain only one account unless we approve otherwise; protect your login credentials; and notify us promptly of suspected unauthorized access. You are responsible for activity performed through your account until you notify us and we have had a reasonable opportunity to act.

We strongly recommend enabling two-factor authentication (2FA) and keeping the recovery method secure. We never ask for a wallet seed phrase or private key. You must not disclose passwords, authentication codes or other account-security data to any person claiming to represent ZORBI.

Funding, plans, releases and withdrawals

Before submitting an action, verify the asset, blockchain network, destination address, displayed conversion and applicable fees. Blockchain transfers are generally irreversible. We are not responsible for assets sent using an unsupported network, incompatible token contract, incorrect address or destination outside our control.

Account values may be denominated in USD while funding and withdrawals are settled in a supported digital asset. The applied conversion may reflect market movement, network fees and provider spreads. The amount displayed at one time may differ from the amount available later.

Hourly cycles run from the activation time of each individual plan, not necessarily at the top of a clock hour. Ledger entries and processing estimates may be delayed by maintenance, validation, network congestion or other operational conditions.

Funding the account and then requesting an immediate or near-immediate withdrawal without using those funds to activate one or more plans (an “In/Out” transaction) is prohibited. The Service is not intended to operate as a pass-through wallet, exchange or transfer intermediary. We may refuse or delay such a request, ask for clarification and restrict or suspend the account where necessary.

Where early release is enabled, the minimum waiting period and fee shown before confirmation apply. All withdrawal requests are reviewed and approved manually for user security. We process requests continuously whenever possible and normally within 24 hours; exceptional cases requiring account, transaction or security clarification may take up to 72 hours. The minimum withdrawal is $5. Standard withdrawal network fees are covered by the platform, and the minimum exists to prevent abuse through repeated micro-withdrawals.

Referral program

Referral participation is optional. Current commission rates and qualification rules are shown in the referral area and may change prospectively. Creating or using multiple, duplicate or controlled accounts to refer yourself or collect commission from your own plan activations is prohibited. Such activity will result in suspension of all linked accounts and may result in cancellation of improperly credited commissions. Commission is not earned on reversed or fraudulent activity or promotion that violates these Terms. You must describe the Service accurately, disclose the referral relationship where required and never promise guaranteed returns.

Acceptable use and compliance

You must not use the Service for unlawful activity, sanctions evasion, money laundering, fraud, market manipulation, malware, unauthorized access, scraping that disrupts the Service, identity misrepresentation, spam or infringement of another person's rights. You must not interfere with security features or attempt to exploit errors.

We may investigate activity, request information, delay or refuse an action, preserve records, restrict an account or cooperate with authorities where we reasonably believe this is required by law or necessary to protect users, ZORBI or the integrity of the Service.

Intellectual property and communications

The ZORBI name, mascot, visual identity, website design, software, copy and other materials are owned by or licensed to ZORBI. These Terms grant you a limited, revocable, non-transferable right to use the Service for its intended purpose. They do not transfer intellectual-property ownership.

Electronic notices delivered through the Service, your registered email or official ZORBI channels may satisfy communication requirements to the extent permitted by law. Keep your contact information current.

Availability, disclaimers and liability

The Service is provided on an “as available” basis. To the maximum extent permitted by applicable law, we disclaim implied warranties of uninterrupted availability, merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes a right or liability that cannot lawfully be excluded.

To the maximum extent permitted by law, ZORBI and its directors, employees, contractors and affiliates are not liable for indirect, incidental, special, punitive or consequential loss; loss of profit, opportunity, goodwill or data; blockchain failure; third-party conduct; or events outside reasonable control. Any aggregate liability will be limited to the amount paid by you directly to ZORBI for the specific Service giving rise to the claim during the six months before the event, except where the law requires otherwise.

You agree to indemnify ZORBI against third-party claims and reasonable costs arising from your unlawful use, material breach of these Terms or infringement of another person's rights.

Suspension, changes and governing law

You may stop using the Service, subject to pending obligations and transaction-specific terms. We may suspend or terminate access for a breach, suspected fraud, security event, legal requirement, prolonged inactivity or discontinuation of the Service. Provisions that by their nature should survive termination remain effective.

We may update these Terms. Material changes will be indicated by a revised effective date and, where appropriate, an additional notice. Continued use after the effective date constitutes acceptance to the extent permitted by law.

These Terms are governed by the laws of Belize, without regard to conflict-of-laws principles. Subject to any mandatory consumer right, the courts of Belize have exclusive jurisdiction over disputes arising from these Terms or the Service. Before commencing proceedings, the parties should attempt in good faith to resolve the matter through written notice.
